Terms of Service

Effective date: April 18, 2026. These Terms apply to the Neocore Health simulations site (the "Site") and any models, data, or outputs you access through it.

1. Confidential access

The Site and all information, models, assumptions, metrics, and results made available through it (collectively, the "Materials") are confidential and provided solely for the limited purpose for which Neocore Health, Inc. ("Neocore," "we," or "us") granted you access. Your use is subject to any separate nondisclosure agreement, partnership agreement, term sheet, or other written agreement between you and Neocore (an "Underlying Agreement"). If there is a conflict, the Underlying Agreement controls for that topic.

2. No sharing; NDA and other agreements

You may not share your access credentials, export or republish the Materials, or disclose the Materials to any third party—including colleagues, advisors, or affiliates—unless Neocore has given prior written authorization for that specific recipient and scope.

Sharing the Site or Materials with anyone who has not been expressly authorized by Neocore may violate your nondisclosure or other agreements with Neocore and may result in those agreements being voided, in addition to any other remedies available to Neocore under contract or applicable law. Neocore may suspend or revoke access immediately if we reasonably believe these Terms or an Underlying Agreement have been violated.

3. No advice; model limitations

The Site is an interactive calculator for discussion purposes only. It does not constitute financial, legal, tax, medical, or investment advice. Outputs depend on your inputs and simplifying assumptions; they are not forecasts, guarantees, or offers.

4. Intellectual property

Neocore and its licensors own all right, title, and interest in the Site and Materials. Except for the limited right to use the Site as expressly permitted by Neocore, no license is granted.

5. Disclaimer of warranties

THE SITE AND MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

6. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEOCORE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR MATERIALS. NEOCORE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID NEOCORE FOR ACCESS TO THIS SITE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY).
